MSL865 Law of Mergers, Acquisitions and Restructurings

The course involves a discussion of corporate restructuring strategies including mergers, acquisitions, takeovers, leveraged buyouts and management buyouts. It aims to provide students with knowledge of M&A, the deal players, the deal structure and regulatory considerations. It also covers topics such as the form of consideration, target valuation and due diligence. The course ends with an overview of deal documents and agreements and related practical drafting exercises.
